Terms of Service (Master Agreement)
This is the master framework agreement between you and the Xiezhua group covering registration and use of all products. By registering, signing in or using any service, you accept it.
Applicable region: International (users outside mainland China). Users within mainland China should switch to the 中文 (China-region) edition.

1. Status of this agreement: one master agreement
These Terms of Service are the master framework agreement (the "Master Agreement") between you and the Xiezhua group. They govern your registration and use of all products and services of the Xiezhua group, including without limitation Acosmi (web agent, Agent Studio), Crab Code (CLI and desktop agent), Bench (Zhonglvbao, legal workbench), Trusted Timestamp (e-signature and e-evidence), and the related websites, clients, mini-programs and open API.
For specific services we publish supplemental agreements and policies (such as the Privacy Policy, the Third-Party Login & OAuth Authorization, the Payment, Subscription & Auto-Renewal Agreement, the Developer & API Terms and the E-Certification Service Agreement). The supplemental agreements together with this Master Agreement form the entire agreement between us. Where a supplemental agreement conflicts with this Master Agreement, the supplemental agreement prevails for that specific service; matters not addressed there remain governed by this Master Agreement.
2. Who we are: two companies, providing Acosmi services as one
The services you use are provided jointly and uniformly under the single name "Acosmi (the Xiezhua group)" by two affiliated companies that belong to one and the same corporate system:

Unified-service statement: Xiezhua Tech and Hongshen Legal belong to one system and operate under a unified brand, a unified account and unified privacy and security standards. A single Acosmi account gives you access to all of the above services; regardless of which entity actually performs a given feature, the service is provided to you uniformly under the "Acosmi" name, and a single support channel handles your enquiries, complaints and rights requests, with the Xiezhua group coordinating internally. References in this agreement to "we," "the platform" or "the Xiezhua group" mean the relevant entity or their combination, depending on the specific service you use.
Services performed by Hongshen Legal — Bench legal services, e-signature and Trusted Timestamp — are additionally subject to the E-Certification Service Agreement.
3. Acceptance and changes
- By clicking "Agree," "Register" or "Sign in," or by using the service in any manner, you confirm that you have read, understood and accepted this agreement and the supplemental agreements in full.
- If you do not agree to any term, please stop registering and using the service.
- We may revise this agreement to reflect changes in law or our services. Revisions will be prominently notified before they take effect (in-app notice, pop-up, email or SMS). For material changes that reduce your key rights or increase your obligations, we will use a more prominent notice and, where appropriate, seek your consent. Continued use after a change takes effect constitutes acceptance.
4. Registration and identity
- Eligibility: you must be a natural person, legal entity or other organization with full capacity to contract. Use by minors is subject to the Children's & Minors' Privacy Rules and must occur with guardian consent and guidance.
- Methods: you may register with a phone number or email, or sign in via a third-party account (WeChat, Google, GitHub), as described in the Third-Party Login & OAuth Authorization.
- Verification: certain features (e-signature, paid invoicing, the open API) may require identity verification. Provide true, accurate and complete information and keep it current.
- Account security: keep your credentials safe. You are responsible for activity under your account, except where caused by our fault. Notify us immediately of any unauthorized use or security vulnerability.
5. Acceptable use
You agree to use the service lawfully and in good faith and must not:
- violate applicable law, harm public or national interests;
- generate, upload or distribute content that is unlawful or infringes others' rights (including illegal, obscene, violent, fraudulent, IP- or privacy-infringing content);
- access, interfere with or damage the service or servers without authorization, including attacks, scraping, reverse engineering, mass registration or automated abuse;
- use AI to produce disinformation, deepfakes or misleading content, or to circumvent content-safety mechanisms;
- resell or sublicense the service, or use it for unfair competition against us;
- otherwise breach this agreement, a supplemental agreement or the law.

6. Payment, subscription and billing
Some services are paid (membership subscriptions, Credits, the open API). Billing, auto-renewal, refunds and invoices are governed by the Payment, Subscription & Auto-Renewal Agreement.
7. Intellectual property
- Except for content you upload and as otherwise required by law, the service and its software, interfaces, trademarks and documentation are owned by the Xiezhua group or its licensors.
- You retain rights in content you lawfully upload; you grant us a limited licence to process that content as necessary to provide the service. See the AI-Generated Content & IP Notice and the Privacy Policy.
8. Personal-data protection
We collect and process your personal data under the Privacy Policy and the Cookie & Similar Technologies Policy, and honour your rights of access, copy, rectification, erasure and withdrawal of consent under applicable law (including the GDPR and CCPA/CPRA).
9. Interruption, change and termination
- We use reasonable efforts to keep the service available, but it may be suspended or interrupted for maintenance, upgrades, faults, force majeure or lawful regulatory compliance.
- If you materially breach this agreement or the law, we may, in proportion to the conduct, warn you, restrict features, or suspend or terminate the service, and reserve our legal remedies.
- You may stop using the service and delete your account at any time — see Section 11.
10. Disclaimers and limitation of liability
- To the maximum extent permitted by law, we are not liable for losses caused by force majeure, third parties, your own acts, or events not attributable to our fault.
- AI-generated content may be inaccurate or incomplete and does not constitute professional advice (legal, medical or financial). You are responsible for evaluating and using the output.
- Nothing here excludes or limits liability that cannot be excluded or limited by law (such as liability for death or personal injury caused by our negligence).
11. Account deletion guide
You may delete your account and end your relationship with us at any time.
- How to delete: account deletion is currently handled through customer support — email fuwu@acosmi.com or call 4000269678, and we process it after verifying your identity. An in-product self-service deletion entry is being rolled out; once available it will appear under Settings → Privacy. If it is not yet shown, please use the support channel above.
- Before you delete: settle any open orders and balances, turn off auto-renewal, and handle or export important data (conversations, files, contracts and evidence records). Complete any in-progress e-signing, evidence preservation or unfinished transactions first.
- Cooling-off: after we accept your deletion request there is a cooling-off period (typically 7 days) during which you may contact us to cancel it; once it elapses without anomalies, the account is deleted.
- Consequences: deletion is irreversible. Membership benefits, Credits balances and other virtual rights tied to the account may be cleared and are non-refundable (unless the law requires otherwise), and you will no longer be able to sign in or recover data.
- Data handling: after deletion we delete or anonymize your personal data under the Privacy Policy; information we must retain to meet legal obligations (for example, transaction, e-signature and evidence records subject to statutory retention periods) is kept only to the minimum extent, for the statutory period, with safeguards, and then deleted or anonymized.

12. Governing law and disputes
- This agreement and any dispute arising from it are governed by the laws of your place of habitual residence to the extent its mandatory consumer-protection rules apply; otherwise, the parties may agree on a neutral governing law and forum as stated at sign-up.
- The parties will first seek to resolve disputes amicably. Failing that, either party may bring the dispute before the competent courts, or to arbitration where the parties have so agreed.
- If any provision is held invalid, the remaining provisions stay in effect.
