Payment, Subscription & Auto-Renewal Agreement

This Agreement explains which Acosmi entity charges you, how pricing and auto-renewal work, refund rights, Credits rules, and how to manage or cancel your subscription.

Applicable region: International (users outside mainland China). Users in mainland China please switch to the 中文(中国区)version.

1. Scope and Relationship to the Terms of Service

This Payment, Subscription & Auto-Renewal Agreement ("Agreement") is a specific agreement that supplements the Terms of Service. It governs all matters relating to payment, subscription contracts, automatic renewal, refunds, invoices, and Credits (metered tokens) between you and the Xiezhua group when you use paid features of the Acosmi platform.

Where this Agreement and the Terms of Service conflict on payment-related matters, this Agreement prevails. Matters not addressed here are governed by the Terms of Service.

By clicking "Pay Now", "Subscribe", or any equivalent button, or by authorising a recurring charge, you confirm that you have read, understood, and agreed to this Agreement in full. If you do not agree, do not purchase or use any paid service.

A note on minors

Paid services are not available to persons under 18 years of age without the explicit consent and active participation of a parent or legal guardian, who accepts joint financial liability for all charges. See the Minors Protection Policy and Section 9 of this Agreement.

2. Billing Entities — Who Charges You

The Xiezhua group consists of two affiliated companies, each acting as the billing entity for their respective services:

The billing entity for any given order is the company name displayed on the checkout / order confirmation page. Both companies operate under the unified "Acosmi" brand with a shared account system and a shared customer-support channel (fuwu@acosmi.com / 4000269678). If you have a billing query, contact unified support; the relevant entity will respond.

For charges related to Bench and Trusted Timestamp, additional terms appear in the Electronic Certification Service Agreement.

3. Paid Products

3.1 Subscription Tiers

The platform offers subscription tiers BASIC, PRO, PRO_MAX, and ULTRA (plus a free tier and enterprise editions); the pricing page is the authoritative source. Benefits for each tier — including accessible models, context-window limits, monthly Credits allocation, and media-processing caps — are described on the current pricing / subscription page. This Agreement does not reproduce specific prices or feature lists so that the pricing page always remains the authoritative source.

Each tier is available with a monthly or annual billing cycle:

  • Monthly: billed each calendar month; auto-renewal is on by default (see Section 5).
  • Annual: billed once per year, typically at a discount; auto-renewal is on by default.

Price lock: the price you pay at the time of subscription is locked for that subscription cycle. Price changes by Acosmi are not retroactive to your current paid cycle but will apply from the next renewal.

3.2 Credits (Metered Tokens)

Credits are virtual units issued by the platform to measure consumption of AI inference, API calls, image generation, video processing, and web-search operations. Credits are obtained through:

  • monthly allocations bundled with an active subscription tier;
  • Credits top-up packs purchased separately on the platform;
  • promotional or operational grants provided by Acosmi.

Validity, consumption order, expiry, and no-cash-out rules are set out in Section 8.

3.3 Open API Metered Billing

Developers who hold an open API key (sk- key) consume an independent API Credits balance. API billing is wholly separate from the subscription Credits ledger; no cross-ledger transfer occurs. Unit prices are shown in the Acosmi developer documentation and the Admin Console.

3.4 Bench and Trusted Timestamp Service Packages

Provided by Hongshen (Beijing) Legal Consulting Co., Ltd. These include electronic-signature credit packs, timestamp notarisation packs, and legal-consultation hour bundles. Specific pricing and service terms are in the Electronic Certification Service Agreement; general payment, invoice, and refund rules in this Agreement apply.

4. Prices, Currency, and Taxes

All prices for international users are displayed in the currency shown on the checkout page at the time of purchase (e.g., USD, EUR, or other local currencies where supported), inclusive of any platform fees. The price on the order confirmation page governs; this Agreement does not list specific prices.

Regarding taxes:

  • Where applicable law requires us to collect value-added tax (VAT), goods and services tax (GST), digital-services tax, or similar taxes on digital services, we will add them to the checkout total and remit them to the relevant tax authority.
  • EU and UK users: VAT is calculated based on your billing address and applied at the applicable local rate.
  • You are responsible for any personal income tax or other taxes that may apply to you under the laws of your jurisdiction.

5. Automatic Renewal

Please read this section carefully. By enabling auto-renewal you authorise us to charge your payment method automatically at the start of each new billing cycle.

5.1 How Auto-Renewal Is Enabled

Auto-renewal is on by default for monthly and annual subscriptions. During checkout, we present the following information prominently before you complete payment:

  • the recurring amount and billing frequency;
  • the date of the first automatic charge after the initial period;
  • how to cancel auto-renewal at any time (see Section 5.3);
  • a clear affirmative-consent checkbox or equivalent mechanism.

We do not activate auto-renewal without your explicit consent at checkout.

5.2 Billing Date and Amount

  • Monthly subscriptions: your payment method is charged approximately 1 day before the monthly anniversary of your original purchase date (exact timing may vary by payment processor).
  • Annual subscriptions: your payment method is charged approximately 3 days before the annual anniversary.
  • The amount charged is the price in effect at the time of each renewal (which may differ from your initial price if we have updated pricing, subject to the advance notice requirement below).
  • If we raise the price that applies to your renewal, we will notify you at least 30 calendar days in advance by email to your registered address and/or in-app notification, giving you sufficient time to cancel before the new price takes effect.

5.3 How to Cancel Auto-Renewal

You may cancel auto-renewal at any time without contacting us. The primary self-service path is the Billing / Subscription Management section after logging in. If you subscribed via Alipay or WeChat Pay, you can also cancel the recurring-debit authorisation directly within those apps (Alipay: "Me → Services → Deduction Services"; WeChat Pay: "Wallet → Auto-renewal"). Alternatively, contact fuwu@acosmi.com or call 4000269678 and we will cancel within 1 business day.

Cancellation takes effect immediately. Your access and benefits continue until the end of the current paid period; you will not receive a pro-rata refund for the unused portion of the current period unless otherwise required by applicable law. No fee is charged for cancelling auto-renewal.

California residents: where and to the extent required by California's Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.), you may also cancel by emailing fuwu@acosmi.com with subject line "Cancel Auto-Renewal — California" and we will process the cancellation within 1 business day.

European Union and UK residents: where and to the extent legally required, your rights under the EU Consumer Rights Directive and UK Consumer Contracts Regulations are not affected by the foregoing.

5.4 Renewal Failure

If an automatic renewal payment fails (insufficient funds, expired card, etc.), we will:

  1. notify you promptly by email and/or in-app notification;
  2. retry the charge up to 2 additional times within 3 calendar days;
  3. if all retries fail, your subscription expires at the end of the current period and your account returns to the free tier; stored data and conversation history are retained but gated behind a paid tier are no longer accessible;
  4. if a retry succeeds, your subscription renews from the date the payment clears (not back-dated to the original expiry date).

6. Accepted Payment Methods

The current payment methods available on the platform are:

Additional international payment options such as card payments are being enabled; the methods shown at checkout are authoritative. If a payment method is not available in your region at checkout, please contact fuwu@acosmi.com for assistance.

Payment Security: Acosmi does not store your Alipay credentials, WeChat Pay credentials, or any card numbers. Payment data is handled by the respective third-party payment institutions in accordance with their security standards. For details, see the Privacy Policy.

7. Invoices and Receipts

After each successful payment, we will send an electronic receipt to your registered email address, typically within 3 business days. The receipt shows the charged amount, billing entity, billing period, and order reference.

7.1 Formal VAT Invoices

If you require a formal VAT invoice, please provide your VAT number and company details in your account settings or contact fuwu@acosmi.com within 90 calendar days of payment. We will issue the invoice within 5 business days of receiving complete information. VAT or equivalent digital-services taxes are calculated and applied at the applicable statutory rate for your jurisdiction; we do not assert a fixed rate in this Agreement.

7.2 Invoices on Refund

Where a refund is processed, we will issue a credit note or corrected invoice as required by applicable law. You may be asked to confirm the credit note before the refund is released.

8. Credits Rules

8.1 Nature of Credits

Credits are virtual units issued solely for use within the Acosmi platform. Credits have no cash value, cannot be withdrawn, transferred to another user, sold, or exchanged for any fiat currency, gift card, or third-party value instrument. Credits do not constitute prepaid payment instruments or electronic money under applicable financial regulations.

8.2 Sources and Validity

Credits that expire are automatically forfeited with no compensation. We recommend using your Credits before the expiry date.

8.3 Consumption Order

Where an account holds Credits from multiple sources, consumption follows the order nearest-expiry first. Where expiry dates are equal, the order is: promotional grants first, then purchased top-ups, then monthly subscription allocations.

8.4 No Refund on Used Credits

Credits are digital content that begins delivery immediately upon purchase. Once Credits are added to your account, they are treated as delivered and consumed digital content for the purpose of refund eligibility, subject to the refund rights set out in Section 9.

8.5 Credits on Account Deletion

Upon account deletion, all remaining Credits (subscription allocations, purchased top-ups, and promotional grants) are permanently forfeited with no refund or compensation, unless mandatory consumer protection law in your jurisdiction requires otherwise. Please use or consciously relinquish your Credits before initiating account deletion. See Section 11 and the Account Deletion Policy.

9. Refund Policy

9.1 Statutory Withdrawal Rights — EU and UK Residents

Under the EU Consumer Rights Directive (2011/83/EU) and equivalent UK regulations, you have a 14-day right of withdrawal from the date of purchase for distance contracts, without giving a reason.

Digital-content exception: you expressly acknowledge at the time of purchase that (a) performance of the digital service begins immediately upon purchase, and (b) as a consequence you lose your right of withdrawal once performance has begun. This applies to Credits top-ups and to the immediate activation of subscription features. This acknowledgement is collected as a mandatory tick-box during checkout.

If you have not yet begun to use any paid features and performance has not started, the 14-day withdrawal right remains intact for EU/UK residents and you may exercise it by contacting fuwu@acosmi.com.

9.2 General Subscription Refund Rules

9.3 Credits Top-Up Refund Rules

  • If you have not consumed any Credits from a specific top-up pack and request a refund within 7 calendar days of purchase, a full refund may be issued.
  • Partially consumed top-up packs are not eligible for refund.
  • Promotional Credits are non-refundable under all circumstances.

9.4 How to Request a Refund

  1. Email fuwu@acosmi.com with the subject line "Refund Request", including your order number, payment date, and reason for the request.
  2. Or call 4000269678 (Monday–Friday, 09:00–18:00 CST).
  3. We will acknowledge your request within 2 business days and provide a decision within 5 business days.
  4. Approved refunds are returned to the original payment method; processing time varies by payment processor (typically 5–10 business days for cards).

9.5 Dispute Resolution

If you believe our refund decision is incorrect, you may:

  • escalate to fuwu@acosmi.com citing "Escalated Refund Dispute";
  • contact your card issuer or payment processor to dispute the charge (chargeback); see Section 10.2 for platform consequences of chargebacks;
  • EU residents may use the European Commission's Online Dispute Resolution platform;
  • UK residents may contact the Citizens Advice consumer helpline or relevant alternative dispute resolution scheme;
  • pursue legal action in a court of competent jurisdiction as specified in the Terms of Service.

10. Minors' Payments

Persons under 18 may not independently complete any payment. If a minor completes a payment using a guardian's payment method without the guardian's knowledge or consent, the guardian may contact fuwu@acosmi.com within 30 calendar days of discovering the charge and provide:

  • proof of the minor's age (birth certificate, passport, or equivalent);
  • evidence of guardianship;
  • screenshots of the payment record.

We will review the request and, where eligibility is confirmed, process an appropriate refund in accordance with applicable consumer protection laws. Full details are in the Minors Protection Policy.

11. Failed Payments, Chargebacks, and Service Suspension

11.1 Failed Payments

Renewal-failure handling is described in Section 5.4. Additional consequences of sustained non-payment may include:

  • restriction of export, download, or API access features pending payment resolution;
  • after 30 days of non-payment following expiry, permanent deletion of data and configurations associated with the account tier (with prior notice as described in the Terms of Service data-retention section).

11.2 Chargebacks

If you initiate a chargeback or payment dispute through your card issuer or payment processor, we reserve the right to:

  • suspend all paid features on your account during the dispute period;
  • recover the disputed amount plus any processor fees imposed on us if the chargeback is ultimately resolved in our favour;
  • permanently terminate your eligibility for paid services if the chargeback was found to be unjustified (i.e., you had received and used the services paid for).

We encourage you to contact us directly at fuwu@acosmi.com before initiating a chargeback; most issues can be resolved faster through our support channel.

11.3 Suspicious or Fraudulent Transactions

We reserve the right to suspend an account or reverse a transaction if we detect indicators of fraud, identity theft, or violation of our payment terms. We will notify you as soon as legally and operationally possible and provide a path to appeal.

12. Account Deletion

Before submitting an account-deletion request, you must complete the following steps to avoid irreversible financial loss:

  1. Turn off auto-renewal: use the Billing / Subscription Management section in the app, or cancel the recurring-debit authorisation within Alipay ("Me → Services → Deduction Services") or WeChat Pay ("Wallet → Auto-renewal"), or contact support to cancel on your behalf.
  2. Use or consciously relinquish your Credits: all remaining Credits are permanently forfeited upon deletion and are non-refundable (except where mandatory law requires otherwise).
  3. Download invoices and receipts: save any documents you may need for accounting or tax purposes before deletion.

A cooling-off period of approximately 7 calendar days begins after you submit a deletion request. You may withdraw the request during this period. After the cooling-off period expires, deletion is irreversible: your account, all data, Credits, and subscription entitlements are permanently removed.

13. Changes to This Agreement

We may update this Agreement from time to time. For material changes (such as changes to refund policy, pricing logic, new fee categories, or auto-renewal mechanics), we will provide at least 30 calendar days' advance notice to EU/UK residents and 15 calendar days to other users, via one or more of: registered email address, in-app notification, or prominent notice on the platform. Continued use of any paid service after the effective date of the change constitutes acceptance of the updated Agreement. If you do not agree, you may cancel auto-renewal and stop using paid services before the change takes effect.
